Congestus — End User License Agreement

This End User License Agreement ("Agreement") is between you and DIODE LOGIC, S.L. ("Diode Logic", "we"), Avenida de Manoteras 24, planta 2, 28050 Madrid, Spain, and governs your use of the Congestus software for macOS, Windows and Linux, including updates (the "Software"). By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

2. Evaluation period

Anyone may install and use the Software free of charge during the Evaluation Period, in order to evaluate it. The Software is fully functional during evaluation. If you wish to continue to use the Software after the Evaluation Period, you must obtain a License Key (Section 3).

The Software does not disable itself when the Evaluation Period ends. It shows a reminder at launch and marks its window as an evaluation copy, and relies on you to comply. Please do.

3. License

Grant. On payment of the license fee, Diode Logic grants you a non-exclusive license to install and use the Software under one of the following models, but not both:

An organization needs one License Key for each person who uses the Software (per user) or for each computer on which it is installed (per workstation). A License Key may not be shared with, or used by, anyone it does not cover.

Duration and updates. A license is perpetual. It covers the version of the Software you licensed and every future version Diode Logic releases; updates are free.

Transfer. You may permanently transfer your license to another person or organization, provided that you keep no copies, that you stop using the Software, and that the recipient accepts this Agreement. On request, Diode Logic reissues the License Key in the recipient's name. Licenses may not be rented, leased or lent.

Purchase. Licenses are sold through Diode Logic's authorized reseller, which acts as the seller of record and issues the invoice; purchase terms, refunds and taxes are governed by the reseller's terms of sale at the time of purchase.

4. Redistribution of the evaluation version

You may freely copy and pass on the installer of the Software exactly as published by Diode Logic, complete and unmodified, without charging for the Software itself, including on download sites and in software collections. You may not distribute License Keys, and you may not present the Software as your own.

5. What you may not do

You may not: (a) sell, rent, lease or sublicense the Software or any License Key, or redistribute the Software other than as Section 4 allows; (b) share a License Key with anyone it does not cover, or publish one; (c) remove or alter any proprietary notice; (d) modify, reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits this despite this limitation; (e) circumvent, or attempt to circumvent, the License Key mechanism or the evaluation reminder; (f) use the Software to violate any law or the rights of others.

6. Ownership

The Software is licensed, not sold. Diode Logic and its licensors retain all rights, title and interest in the Software, including all intellectual property rights. The Software includes third-party open-source components licensed under their own terms, listed in the Third-Party Notices distributed with the Software; those terms apply to those components.

7. Privacy

The Software does not collect or transmit personal data. Its only network activity is an optional once-a-day check of Diode Logic's website for a newer version and for a list of revoked License Keys, which sends no information about you or your files and can be switched off in Settings. License Keys are verified on your device; nothing is sent to a server. See the Privacy Policy at https://diodelogic.com/en/legal/privacy/.

8. No warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Diode Logic does not warrant that the Software will be error-free or uninterrupted, or that it will meet your requirements. Some jurisdictions do not allow the exclusion of implied warranties; in that case this section applies to the fullest extent permitted by law. Nothing in this Agreement limits the rights you have as a consumer under mandatory law.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIODE LOGIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, BUSINESS OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DIODE LOGIC'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR TEN EUROS (€10) IF YOU PAID NOTHING. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including for death or personal injury caused by negligence, or for fraud.

Always keep backups. The Software can move files to the trash or recycle bin at your request; errors, including errors in third-party components, can cause data loss.

10. Term and termination

This Agreement is effective until terminated. It terminates automatically if you breach it. Upon termination you must stop using the Software and delete all copies. Sections 5, 6, 8, 9, 11 and 12 survive termination.

11. Governing law

This Agreement is governed by the laws of Spain. Any dispute shall be submitted to the courts of Madrid, Spain, without prejudice to any mandatory consumer-protection rules that give you the right to bring proceedings where you live.

12. General

This Agreement is the entire agreement about the Software and supersedes prior agreements. If any provision is held unenforceable, the rest remains in effect. Diode Logic may publish updated terms for new versions of the Software; the terms distributed with a version apply to that version.
